Please read the terms of service carefully before using Wrenchly. The acknowledgment form must be completed before your account is activated.

These Terms and Conditions ("Agreement") govern your use of Wrenchly's services. By subscribing to any Wrenchly plan, you agree to be bound by this Agreement. Please read it carefully.

1. Parties & Definitions

"Wrenchly" refers to the business operating under the trade name Wrenchly, a sole proprietorship registered in Ontario, Canada, with its principal place of business at 2 Bloor Street West, Suite 700, Toronto, Ontario, M4W 3E2.

"Client" refers to the individual or business entity that has subscribed to a Wrenchly plan.

"Services" refers to the AI automation systems, software, configurations, and support provided by Wrenchly, including but not limited to AI phone answering, booking automation, CRM integration, review automation, and website conversion tools.

"Platform" refers to the third-party software tools used to deliver the Services, including GoHighLevel and associated AI calling platforms.

2. Services Provided

Wrenchly will provide the Services outlined in the Wrenchly Pro subscription. The features included are detailed on the Wrenchly website at trywrenchly.com and may be updated from time to time with reasonable notice to existing clients.

2.1 Setup & Onboarding

Wrenchly will complete initial setup and configuration of the Client's account within 48 hours of receiving all required onboarding information. The Client agrees to provide accurate business information, access credentials, and other materials reasonably required to complete setup.

Wrenchly delivers its Services through a combination of proprietary configurations and licensed third-party platforms. The Client acknowledges that:

Wrenchly reserves the right to modify, update, or improve the Services at any time. Material reductions in service features will be communicated to the Client with a minimum of 30 days' notice.

3. Subscription, Billing & Payment

3.1 Subscription Plan

Wrenchly offers a single monthly subscription — Wrenchly Pro. The subscription is month-to-month with no long-term contracts. It begins on the date of the first successful payment and renews automatically on the same date each month. Pricing is as agreed at the time of subscription and confirmed in the Client's order confirmation email.

3.2 Done-For-You Setup

Done-for-you setup and onboarding is included in the Wrenchly Pro subscription at no additional cost. Wrenchly will complete initial configuration of the Client's account within 48 hours of receiving all required onboarding information. The Client agrees to provide accurate business information, access credentials, and other materials reasonably required to complete setup.

3.3 Pricing

The monthly subscription rate for Wrenchly Pro is confirmed in the Client's order confirmation email at the time of purchase. This rate applies for the duration of the Client's continuous subscription. Wrenchly reserves the right to adjust pricing for new subscriptions with 14 days' written notice as outlined in Section 3.6. Existing subscribers will be notified of any price changes affecting their account in accordance with Section 3.6.

3.4 Payment Processing

All payments are processed securely through Stripe. Wrenchly does not store payment card information. By subscribing, you authorise Wrenchly to charge your payment method on a recurring monthly basis.

3.5 Failed Payments

If a scheduled payment fails, Wrenchly will notify the Client by email and make reasonable attempts to retry the charge. If payment remains unsuccessful, the Client's account may be suspended until the outstanding balance is resolved. Accounts not brought into good standing within 30 days of the original due date may be terminated. Any overdue fees may incur a late payment fee of up to 1.5% per month or the maximum permitted under applicable Ontario law.

3.6 Price Changes

Wrenchly reserves the right to adjust standard subscription pricing with 14 days' written notice by email or in-app notification. Your continued use of the Services after the price change becomes effective constitutes your agreement to pay the revised amount. Founder rate clients are exempt from standard price increases for the duration of their continuous subscription.

4. Cancellation & Refunds

ALL SUBSCRIPTION FEES ARE NON-REFUNDABLE. By subscribing to Wrenchly, you acknowledge and agree that all fees paid are non-refundable. There are no long-term contracts — all plans are month-to-month.

4.1 Month-to-Month Subscriptions

All Wrenchly subscription plans are month-to-month. There are no long-term contracts, no annual commitments, and no early cancellation penalties. The Client is free to cancel at any time in accordance with Section 4.2 below.

4.2 Cancellation by Client

The Client may cancel their subscription at any time by providing 30 days' written notice to hello@trywrenchly.com. The cancellation notice period begins on the date the written notice is received by Wrenchly. The Client will continue to have access to the Services through the end of the 30-day notice period, after which access will be terminated immediately.

4.3 No Refund Policy

All fees paid to Wrenchly are strictly non-refundable. No refunds, credits, or pro-rata adjustments will be issued for any of the following:

Subscription fees will not be prorated or refunded except as expressly set out in Section 4.5 below.

4.4 Access on Cancellation

Upon expiry of the 30-day cancellation notice period, the Client's access to the Services will cease immediately. Wrenchly will retain the Client's data for 30 days following the termination date, during which the Client may request an export. After 30 days, all data will be permanently deleted.

4.5 Sole Refund Exception — Non-Delivery

The only circumstance under which a refund may be considered is if Wrenchly fails to activate the Client's AI system within 7 business days of the Client completing the onboarding process and providing all required information. In such cases only, the Client may request a refund of the first month's subscription fee by contacting hello@trywrenchly.com in writing within 14 days of the original payment date.

4.6 Cancellation by Wrenchly

Wrenchly reserves the right to terminate a Client's subscription immediately and without notice in cases of:

Where Wrenchly terminates a subscription without cause, the Client will receive 30 days' written notice and any prepaid fees for full unused calendar months beyond the notice period will be refunded on a pro-rata basis. Partial months are not refundable under any circumstances.

6.1 Client Data

Wrenchly collects and processes personal data in accordance with its Privacy Policy, available at trywrenchly.com. The Privacy Policy is incorporated into these Terms by reference.

6.2 Customer Data

In providing the Services, Wrenchly will process personal data belonging to the Client's customers (names, phone numbers, booking details) as a data processor on behalf of the Client. The Client is the data controller and is responsible for ensuring they have appropriate legal grounds to share this data with Wrenchly.

6.3 Data on Cancellation

Upon cancellation, Wrenchly will retain Client data for 30 days, during which the Client may request an export. After 30 days, all Client and customer data will be permanently deleted from Wrenchly's systems.

6.4 Third-Party Platforms

The Client acknowledges that data processed through the Services may pass through third-party platforms including GoHighLevel and AI calling providers. These platforms have their own privacy policies and data processing agreements.

7. Intellectual Property

All configurations, workflows, automation scripts, templates, and systems built by Wrenchly remain the intellectual property of Wrenchly. The Client is granted a non-exclusive licence to use these systems during the term of their subscription. Upon cancellation, this licence terminates.

The Client retains ownership of all their own business data, customer contacts, and content uploaded to the platform.

8. Limitation of Liability

THIS SECTION LIMITS WRENCHLY'S LIABILITY. PLEASE READ IT CAREFULLY BEFORE SUBSCRIBING.

To the maximum extent permitted by applicable law:

Each provision of this Agreement that provides for a limitation of liability, disclaimer, or exclusion of damages is intended to allocate the risks between the parties. This allocation is an essential element of the basis of the bargain between the parties. Nothing in this section limits liability for fraud or any liability that cannot be limited by law in Ontario, Canada.

9. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed in connection with the Services, including but not limited to business strategies, customer data, pricing, and technical configurations. This obligation survives termination of the Agreement for a period of two years.

10. Dispute Resolution

The parties agree to attempt to resolve any dispute informally by contacting hello@trywrenchly.com and allowing 30 days for a good-faith resolution. If informal resolution fails, disputes shall be resolved through binding arbitration in Toronto, Ontario, under the Arbitration Act, 1991 (Ontario). The language of arbitration shall be English.

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.

11. General Provisions

11.1 Entire Agreement

This Agreement, together with the Privacy Policy and any order confirmation, constitutes the entire agreement between the parties regarding the Services and supersedes all prior discussions and agreements.

11.2 Amendments

Wrenchly may update these Terms from time to time. Material changes will be communicated by email with 30 days' notice. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.

11.3 Severability

If any provision of this Agreement is found to be unenforceable, the remaining provisions will continue in full force and effect.

11.4 Waiver

Failure by either party to enforce any provision of this Agreement does not constitute a waiver of that provision.

This form must be completed before your Wrenchly account is activated. It confirms you have read and agreed to the Terms and Conditions, and provides us with the information we need to set up your system correctly. Completion typically takes 3–4 minutes.

I acknowledge that access terminates at the end of the notice period.
Setup & Onboarding I understand that my account will be configured within 48 hours of submitting this form and that I will be contacted by the Wrenchly team to complete setup. I agree to provide any additional information requested promptly.
Marketing Communications (optional) I consent to receiving occasional emails and SMS messages from Wrenchly with product updates, tips, and offers. I can unsubscribe at any time.
